    Important: Please read this agreement carefully before continuing to use this service.
    Section 18 of this Terms of Use contains a binding arbitration clause and class action waiver. 

    Note: The information provided through the Wolilo Service, including but not limited to the in-person events, livestreams, archived lectures and presentations, downloadable handouts and related materials, etc., is intended for educational and informational purposes only. It is not meant to be a substitute for professional advice.
    Wolilo makes no representations or warranties regarding the accuracy, reliability, or completeness of the information provided and will not be held liable for any reliance on such information.



    This Terms of Use (the “Agreement”) applies to the Wolilo service, including all in-person and online events, related websites and software applications, materials, and other content (the “Service”), provided by Wolilo Inc. (“Wolilo”).

    1. Acceptance of Terms

    By continuing to use the Service, you agree as follows:

    1. You understand and intend that this Agreement is a legally binding agreement and the equivalent of a signed, written contract;

    2. You will use the Service in accordance with applicable laws and regulations and in accordance with the terms and conditions in this Agreement as it may be amended by Wolilo from time to time; 

    3. You are at least 13 years old, and if you are at least 13 but still a minor in your jurisdiction, our parent or guardian is agreeing to this Agreement on your behalf; and

    4. You understand, accept, and have received this Agreement and its terms and conditions, and acknowledge and demonstrate that you can access this Agreement.

    If you do not agree with the terms and conditions in this Agreement, please discontinue all further use of the Service.

    1. Service Description and Access

      1. Service Description. The Service consists of:

    • Regularly scheduled in-person and online lectures and other events, archived lecture presentations, and online content, as determined by Wolilo and detailed on the Service;

    • Physical and downloadable handouts and other materials related to the lectures and other events;

    • Access to certain archived events, lectures, presentations, and related materials; and

    • Other features which may added to the Service from time to time.


    1. Event Signup. Wolilo uses certain third-party services to provide event signup and ticketing functionality. By signing up for an event through one of these services, you agree to that service’s terms of use, privacy policy, and other agreements required by the service when processing your transaction.


    2. Pricing and Payment. Current pricing for the Service, including individual event purchases and subscription options (as available), is available on the Service website and mobile applications. Prices are subject to change at any time. Specific payment terms and conditions will be presented at the time of purchase.


    3. Access Period. For purchases of in-person events through the Service (or through a third-party ticketing service) users will have access only to that specific in-person event, unless otherwise noted in the event details. For purchases of online, live-streamed events through the Service, users will have access to view that event live at the scheduled time. Wolilo is not responsible for a user’s failure to attend a purchased event at the scheduled time and refunds will only be provided at Wolilo’s sole discretion.


    In all cases, each event may include additional access to archival video of the event and related content, for a period described on the Service at the time of purchase. Subscription users will have access to materials throughout their active subscription period, if applicable.

    1. Subscriptions. Wolilo may offer subscription-based pricing for certain Service events and content, from time to time. The specifics of the subscription, including pricing, features, and more, will be displayed on the Service at the time that you purchase a subscription. 

    If you purchase a subscription to the Service:

    • Your subscription will automatically renew at the end of each subscription period unless cancelled

    • You may cancel your subscription at any time through your account settings

    • No refunds will be provided for partial subscription periods

    • Access to subscription content will terminate at the end of your subscription period


    1. Wolilo’s License to You

      1. License Grant. Subject to your compliance with these Terms and applicable payment obligations, Wolilo grants you a limited, non-exclusive, non-transferable license to:

    • Attend (if in-person) or access and view (if online) presentations and other content during the applicable access period (depending on your purchase or subscription terms detailed at the time of purchase)

    • View, download, and use certain recordings, handouts, and other Service materials for personal use only

    • Participate in community features (if and when available)

    • Access archived content within your purchase or subscription period and associated terms and limitations


    1. Personal Use Only. The Service, including all events, presentations, handouts, information, and related materials, is licensed for your personal, non-commercial use only. You may not share, distribute, or publicly display any Service materials without Wolilo’s explicit written permission.


    2. Watermarking. Event recordings and other downloadable materials may include watermarks, copyright and other legal notices, or other identifying features. You agree not to remove, obscure, or alter these identifiers.


    3. Prohibited Uses. You may not do any of the following without Wolilo’s explicit written permission:

    • Share your account credentials with others

    • Copy, reproduce, or distribute Service materials

    • Create derivative works based on Service content

    • Use the Service for commercial purposes

    • Remove watermarks or other technical protection measures


    1. Messages from Wolilo

    You may receive communications from Wolilo and their service providers through the Service or through email, such as product and other announcements, and administrative notices. You agree to receive these and that they are not “unsolicited commercial email advertisements.” 

    Marketing emails will be accompanied by instructions for opting out.

    1. Your Account

      1. Account Creation. You may need to register for an Account to use and access certain portions of the Service (your “Account”), which you can do by signing up on the Service. You may only create an Account if you are at least 13 years old. If you are at least 13 years of age but still a minor in your jurisdiction, your parent or legal guardian must establish an Account with us in order for you to access and use the Service. 

    You are solely responsible for the activity that occurs on your Account. You agree to keep your Account and devices secure and to notify Wolilo immediately of any breach of security or unauthorized use of your Account.

    1. Accurate Information. When creating your Account, you promise to provide accurate information related to your Account. You promise to keep this information updated so that it is accurate at all times. 


    2. Suspension of Accounts. Wolilo may, at our sole discretion, suspend or terminate your Account or your access to the Service should your conduct, in our sole determination, fail to conform with this Agreement or for any other reason. 


    3. No Account Purchases and Transfers. You may not buy, sell, give, or trade any Account, nor attempt to buy, sell, give, or trade any Account. Wolilo owns, has licensed, or otherwise has rights to all the content that appears on the Service, including Accounts. Any user found to have signed up for multiple Accounts or otherwise to have used an Account to circumvent an Account termination or any of the terms of this Agreement may be barred from future usage of the Service.


    1. Your License to Wolilo; Your Conduct

      1. Your Content. Any communications or material of any kind that you email, post, or otherwise transmit to Wolilo or the public on or using the Service, including profile pictures, chats, emails, comments, voice recordings, appearances on livestreams and at live presentations, data, questions, feedback, and suggestions are known as your “Content.”

    Wolilo does not own your Content. By posting Content, you (i) represent that you are the owner of the Content or have all of the necessary rights to share them on the Service, and (ii) give Wolilo permission to use, re-use, copy, adapt, abridge, amend, distribute, modify, translate, publish, perform, display, develop, reproduce, communicate to the public and to make your Content otherwise available in any form and by any media (whether now known or hereafter devised), on a commercial or non-commercial basis anywhere in the world, including the right to incorporate any suggestions or feedback into the Service as new or updated features, without limitation.

    1. Event Participation. In addition to the foregoing license under Section 6.1 and without limiting the generality of such license in any way, by participating in events (including in-person and online events), including through questions, comments, or appearances, whether provided in advance or during the event, you grant Wolilo the perpetual, worldwide, royalty-free right to:

    • Record and store your participation

    • Use your likeness, voice, and communications in connection with the Service

    • Use recordings of your participation in marketing materials

    • Edit, modify, or excerpt your participation as Wolilo deems appropriate


    1. Conduct Policy. You are responsible for your conduct as a user of the Service. You agree that you will not engage in conduct (including participation in events and through the sharing of Content) which: 

    • is threatening, bullying, defamatory, abusive, obscene, extremely violent, lewd, sexually provocative or suggestive, pornographic, or which in any manner could give rise to any civil or criminal liability under applicable law; 

    • is or could be taken as slurs, hate speech, or attacks on individuals or groups on the basis of race, color, gender, age, religion, national origin, disability, sexual preferences, or gender identity; 

    • constitutes spam (sending the same message multiple times or to multiple people, or sharing or sending the same content multiple times, will be treated as spam); 

    • is a solicitation or advertisement for any activity, commercial product, or lewd or inappropriate personal conduct;

    • encourages or constitutes behavior that does not support a safe and comfortable environment for all users, which conduct may include but not be limited to bullying, vigilantism, engaging in any conduct or activity that is threatening, harmful, harassing, abusive, vulgar, hateful, defamatory, lewd, sexually provocative or explicit, inflammatory, profane, racially or ethnically objectionable or discriminatory, or in any way that makes the Service and any event an uncomfortable experience for anyone; 

    • prevents or restricts any other user from using the Service;

    • hacks, modifies or otherwise makes use of automation software (bots) or any other unauthorized third-party software designed to modify the Service experience; 

    • violates any local, state, federal or international laws; 

    • violates or infringes any third-party rights (including intellectual property rights and rights of privacy or publicity); 

    • interferes with the Service’s operations; 

    • specifies or claims that you are affiliated with Wolilo when you are not; 

    • requests login or personal information from other users; 

    • uses programs to “crack” the Service or other Internet security tools, or that contain viruses, Trojan horses, worms, or any other similar software that may damage the Service’s operation; or 

    • anything else that Wolilo deems harmful to the Service or to Wolilo’s business.


    1. User Participation Policy. In addition to the general Conduct Policy in Section 6.3, the following rules apply to in events:

    Users must:

    • Follow event moderator/staff instructions regarding questions and discussion

    • Not disrupt presentations or monopolize Q&A sessions

    • Stay reasonably on topic in discussions and Q&A sessions

    • Maintain courteous communication

    • Respect presenters and other participants, and time limits and other guidelines


    Users may not:

    • Disrupt presentations or community discussions

    • Spam online chats or comment sections

    • Promote competing services or products

    • Share personal information about other users

    • Harass or bully other users

    • Post inappropriate or offensive content in chat or comments


    1. Content Responsibility Disclaimer. Wolilo expressly disclaims any responsibility or liability for any content provided, uploaded, or made available through the Service by users or any third parties. While Wolilo tries to maintain a respectful environment, we do not monitor, verify, or endorse the information and materials provided by presenters, users, or other content providers. 


    By using the Service, you agree to the following:

    • Wolilo is not liable for any content, including but not limited to any errors, inaccuracies, unsuitability, or violations of laws or rights

    • You may encounter content that you find offensive, indecent, incorrect, misleading, or otherwise objectionable. 

    • You agree to assume all risks associated with the use of any content on the Service, including any reliance on the accuracy, completeness, or usefulness of such content. 

    • You agree that Wolilo has no obligation to modify or remove any inappropriate content, and has no responsibility for the conduct of the presenter or user submitting any such content.


    1. Support Services

    Wolilo may, in its sole discretion, provide you with customer and technical support services related to the Service (“Support Services”). Wolilo is not required to provide Support Services unless otherwise required by applicable law. No failure to provide, or to continue to provide, Support Services will be a default of Wolilo under this Agreement. 

    Wolilo customer support may be reached by contacting us at team@wolilo.com. You agree that you will look solely to Wolilo in connection with Support Services.

    1. Modification, Termination, and Monitoring of the Service

    Wolilo may modify, suspend, or discontinue the Service or any part of it at any time, with or without notice, and is not liable for any resulting loss. Wolilo may monitor your use of the Service and your Content to ensure compliance with this Agreement, maintain quality, and protect security. Additionally, Wolilo may edit, remove, or refuse to post any Content at our discretion, and may deny access to the Service or terminate any Account at any time for any reason. You waive any claims related to our monitoring, enforcement, or failure to enforce these terms, and Wolilo is not liable for any costs or damages arising from such actions.

    1. Security of Data Transmission and Storage

    Electronic communications using the Service may not always be encrypted. You acknowledge that there is a risk that data, including email, electronic communications, and personal data, may be accessed by unauthorized third parties when communicated between you and Wolilo or between you and other parties. Additionally, your communications and Content on the Service may be publicly available to other parties.

    1. Linked Services

    The Service may contain links to other sites, products, software applications, and other services (the “Linked Services”). Wolilo does not control the Linked Services, and Wolilo and its affiliates and agents make no representations whatsoever concerning the content, accuracy, security or privacy of those Linked Services. The fact that Wolilo has provided a link to an external location is not an endorsement, authorization, sponsorship, or affiliation with respect to such Linked Services, its owners, or its providers. There are risks in using any information, software, or products found on the Internet, and Wolilo cautions you to make sure you understand these risks before retrieving, using, relying upon, or purchasing anything via the Internet. You agree that you will not hold Wolilo or its affiliates or agents liable for any loss or damage caused by use of or reliance on any content, goods, or services available on Linked Services.

    1. Trademarks and Copyrights

    All content and intellectual property in the Service is owned by or licensed to Wolilo and protected by law. You may not use, reproduce, or display any Service content, trademarks, or other intellectual property except as expressly permitted in this Agreement. Unauthorized use may violate copyright, trademark, privacy, or other laws.

    1. Copyright Complaints

    If you are a copyright owner or their agent, and believe that any content on the Service infringes on your copyrights, you may submit a DMCA notification in writing to our Copyright Agent with the following information described below. 

    • A physical or electronic signature of a person authorized to act on behalf of the owner of an exclusive right that is allegedly infringed;

    • Identification of the copyrighted work claimed to have been infringed, or, if multiple copyrighted works are claimed, a list of those works on the Service;

    • Identification of the material that is claimed to be infringing and that is to be removed disabled, reasonably sufficient to permit us to locate the material;

    • Information reasonably sufficient to permit us to contact you, such as your email, address, or phone number;

    • A statement that you have a good faith belief that use of the material in the manner complained of is not authorized by the copyright owner, its agent, or the law; and

    • A statement that the information in the notification is accurate, and under penalty of perjury, that you are authorized to act on behalf of the owner of an exclusive right that is allegedly infringed.

    When we receive a notice alleging copyright infringement, we will take whatever action we deem appropriate, within our sole discretion, including removal of the allegedly infringing materials and termination of access for repeat infringers of copyright protected content.

    Repeat Infringer Policy: Any user of the Service that repeatedly infringes third party copyright or other intellectual property rights will have their Account and their ability to use the Service suspended or terminated.

    1. Disclaimer of Warranties

    Your use of the Service is entirely at your own risk. 
    The Service is provided by Wolilo on an as-is basis. Wolilo expressly disclaims all warranties of any kind, whether express or implied, including, but not limited to the implied warranties of merchantability, fitness for a particular purpose and non-infringement. 
    Wolilo makes no warranty that (i) the Service will meet your requirements, (ii) that operation of the Service will be uninterrupted, timely, secure, or error-free, or (iii) the results that may be obtained from the use of the Service will be accurate or reliable. Users rely on the Service at their own risk and Wolilo will not be held liable for any reliance on the provided information.
    No advice or information, whether oral or written, obtained by you from Wolilo, or through the Service creates any warranty regarding the Service not expressly stated in this Agreement.



    Because some states or jurisdictions do not allow the disclaimer of implied warranties, the foregoing disclaimer may not apply to you.

    1. Limitation of Liability

    You expressly understand and agree that Wolilo is not liable for any direct, indirect, incidental, special, consequential, or exemplary damages, including damages for loss of profits, goods, goodwill, use, data, or other intangible losses (even if Wolilo has been advised of the possibility of such damages), resulting from the use or the inability to use the Service or any other matter relating to the Service, and without regard to whether such damages, or claims of damages arise based in contract, tort or otherwise.



    Because some states or jurisdictions do not allow the exclusion or the limitation of liability for consequential or incidental damages, in such states or jurisdictions, the liability of Wolilo and its affiliates will be limited to the fullest extent permitted by law.

    1. Indemnification

    You agree to indemnify and hold Wolilo and its affiliates, officers, agents, and employees harmless from any claim, demand, loss, costs, or expense, including attorneys’ fees, made by any person or entity arising out of your violation of this Agreement, state or federal laws or regulations, or any other person’s rights. Under no circumstances will Wolilo or its affiliates or agents be liable for any damages of any kind that result from the use of, or the inability to use, the Service, including any liability based on Wolilo’s negligent acts.

    1. Your Personal Information

    Certain personal and other information that we collect, process, and share is subject to our Privacy Policy.  As a condition of using the Service you agree to the terms of the Privacy Policy, as it may be changed from time to time. You agree that your use of the Service is subject to the Privacy Policy.

    1. Governing Law; Mediation; Jurisdiction

    The Agreement, and all future agreements you enter into with Wolilo, unless otherwise indicated on such other agreement, will be governed by the laws of the State of New Jersey. This is the case regardless of whether you reside or transact business with Wolilo, or any of its affiliates or agents, in the State of New Jersey or elsewhere. Unless a dispute would be governed by the terms of Section 18 below, you agree to submit to the personal and exclusive jurisdiction of the courts located within the city of Jersey City, New Jersey, USA.

    For EU users only: In the event of a dispute relating to the interpretation, performance, or validity of this Agreement, an amicable solution can be sought before any legal action. You can file your complaint with Wolilo by sending a message via email to team@wolilo.com. In case of failure, you can, within one year of the failed request, have recourse to an Alternative Dispute Resolution procedure by filing an online complaint on the European Commission’s Online Dispute Resolution website: https://webgate.ec.europa.eu/odr/main/index.cfm?event=main.home.chooseLanguage. If out-of-court dispute resolutions fail, the dispute may be brought before the competent courts.

    1. Binding Arbitration


    THIS SECTION CONTAINS A BINDING ARBITRATION AGREEMENT AND CLASS ACTION WAIVER. IT AFFECTS YOUR LEGAL RIGHTS. PLEASE READ IT CAREFULLY.
    Any dispute or claim related to your use of the Service (each, a “Claim”) will be resolved by binding arbitration instead of in court, except that you may bring qualifying matters in small-claims court. Each Claim must be brought on an individual basis.

    You and Wolilo agree that: (i) Claims may not be arbitrated on a class basis or use class action procedures; (ii) Claims may not be brought in a representative capacity or as a private attorney general; and (iii) no arbitration may be combined with any other arbitration.
    The Federal Arbitration Act and federal arbitration law apply to this Agreement and to this arbitration clause.

    The arbitrator has authority to decide all issues about what must be arbitrated, including the scope and enforceability of this agreement. Any dispute will be resolved under the JAMS Streamlined Arbitration Rules and Procedures, which are incorporated by reference and available at https://www.jamsadr.com/rules-streamlined-arbitration/.

    Arbitration does not involve a judge or jury. An arbitrator reviews the dispute and can award damages and other relief, similar to a court. The arbitrator must follow this Agreement, and court review of any award is limited under the Federal Arbitration Act.

    To start an arbitration, you must send an email to team@wolilo.com describing your Claim and requesting arbitration, or we may do the same by sending a written notice requesting arbitration to your address. The payment of the initial filing fees will be made by the party filing the Claim, and any other filing and other fees will be apportioned as directed by the JAMS rules. The arbitration will take place in Jersey City, New Jersey, USA, unless the Parties agree to video, phone, or internet connection appearances.

    Except as stated below, you may seek any remedies available under federal, state, or local law in arbitration. During the arbitration, both you and Wolilo may obtain discovery of non‑privileged information that is relevant to the Claim. The arbitrator will issue a written decision explaining the outcome, any award (including any attorneys’ fees and costs), and the findings and conclusions supporting the decision.
    Despite this Section, either party may bring a lawsuit in court for equitable relief, for misuse or infringement of intellectual property rights, or for any Claim related to alleged theft, piracy, invasion of privacy, or unauthorized use of the Service.

    BY AGREEING TO THIS ARBITRATION PROVISION, YOU UNDERSTAND THAT YOU AND WOLILO WAIVE THE RIGHT TO SUE IN COURT AND HAVE A JURY TRIAL.
    If any part of this Section is found illegal or unenforceable, that part will be severed and the rest of the Section will remain in full force and effect.



    1. Miscellaneous Terms

      1. Changes to this Agreement. Wolilo may change this Agreement by posting a new version on the Service or by providing a written update. If you keep using the Service after we post changes, you agree to the updated terms.

      2. Force Majeure. Wolilo is not responsible for delays or failures caused by events outside our reasonable control. Examples include natural disasters, war, terrorism, riots, government actions, fires, floods, accidents, strikes, or shortages of transportation, fuel, energy, labor, or materials. 

      3. No Partnership. This Agreement and your use of the Service do not create a partnership, joint venture, employment, or agency relationship between you and Wolilo. 

      4. Assignment. Wolilo may assign this Agreement, in whole or in part, to any person or entity at any time, with or without your consent. You may not assign this Agreement without our prior written consent, and any unauthorized assignment is void.

      5. Severability. If any part of this Agreement is found to be void, invalid, or unenforceable, that part will be removed and the rest will remain in full force and effect. 

      6. Attorneys’ Fees. If either party brings a lawsuit related to this Agreement, the winning party may recover reasonable costs, attorneys’ fees, and other expenses from the other party.

      7. No Waiver. If Wolilo does not enforce a provision of this Agreement, that does not mean we waive our right to enforce it later. Any express waiver applies only to the specific situation and does not waive future obligations. 

      8. Equitable Remedies. You agree that Wolilo may seek immediate court orders (equitable relief) to enforce this Agreement without posting a bond or proving damages, in addition to any other remedies available under law.

      9. Entire Agreement. This Agreement, including any documents we reference in it, is the complete agreement between you and Wolilo about the Service and replaces all prior or current communications, whether electronic, oral, or written.
